Appointment of Andrea Whyte<\/strong>
\nAndrea Whyte is a Partner, with Osler, Hoskin & Harcourt LLP (\u201cOsler\u201d). Ms. Whyte\u2019s practice
\nfocuses on corporate finance, mergers and acquisitions, corporate governance, executive
\ncompensation and general corporate matters.
\nAndrea\u2019s leading expertise has been recognized by Chambers, Lexpert, International Financial
\nLaw Review (IFLR) and Best Lawyers. Andrea is also a director of several non-profit and private
\ncompanies.<\/p>\n

Ms. Andrea Whyte stated \u201cI am delighted to join the Cielo board and be part of a company
\nfocused on providing clean, innovative, renewable energy solutions to address excess waste. I
\nlook forward to working with Don Allan and the entire Cielo team.\u201d

Update on MCTO<\/strong>
\n\u201cThe Company is also providing an update with respect to the previously announced management
\ncease trade order (the \u201cMCTO\u201d) issued by the British Columbia Securities Commission (the
\n\u201cBCSC\u201d) pursuant to National Policy 12-203 \u2013 Management Cease Trade Orders (\u201cNP 12-203\u201d),
\nas announced on August 27, 2021, and subsequently September 7, 2021 (the \u201cPrevious News
\nReleases\u201d). The MCTO was issued in connection with the delayed filing of its annual audited
\nfinancial statements for the year ended April 30, 2021 (the \u201cFinancial Statements\u201d), related
\nmanagement discussion and analysis (the \u201cMD&A\u201d) and officer certificates (the \u201cCertificates\u201d,
\ntogether with the Financial Statements and the MD&A, collectively the \u201cAnnual Documents\u201d)
\non\u00a0http:\/\/www.sedar.com<\/a>\u00a0as required pursuant to applicable securities laws.
\nThe Company has been advised by its auditors that a short additional period of time is required to
\ncomplete their final review of the Annual Documents. The Company expects to file the Annual
\nDocuments no later than September 20, 2021.<\/p>\n
