All currency in this press<br \/>\nrelease is denoted in Canadian dollars.<\/p>\n<p><strong><br \/>\n2021 FINANCIAL OVERVIEW<\/strong><\/p>\n<p>\u2022 Total assets increased by $24.8 million as at April 30, 2021 compared to April 30, 2020. The<br \/>\nincrease was due to $17.1 million increase in cash, mainly as a result of the conversion of<br \/>\nconvertible debentures and the exercise of warrants, and $8.1 million increase in property,<br \/>\nplant and equipment related to the construction activities at Aldersyde facility.<br \/>\n\u2022 Total non-current liabilities decreased by $7.7 million as at April 30, 2021 compared to April<br \/>\n30, 2020. The decrease was due to the repayment of a secured loan and the conversion of<br \/>\nconvertible debentures.<br \/>\n\u2022 Working capital deficiency decreased by $2.8 million to $0.7 million as at April 30, 2021 as<br \/>\na result of $17.1 million increase in cash, partially offset by the increase in short-term warrant<br \/>\nliability, deferred revenue and fees, and accounts payable and accrued liabilities compared to<br \/>\nApril 30, 2020.<br \/>\n\u2022 The net loss for the year ended April 30, 2021 was $39.7 million, an increase of $35.5 million<br \/>\ncompared to $4.2 million net loss in the prior year, due to the following:<br \/>\n\u2022 The non-cash loss on fair value of warrant liability of $28.5 million in the current year,<br \/>\nprimarily as a result of the increase of Cielo\u2019s share price from $0.04 as at April 30,<br \/>\n2020, to $0.92 as at April 30, 2021<br \/>\n\u2022 The recognition of prepaid interest costs of $3.5 million included in financing cost,<br \/>\nprimarily as a result of the early conversion of convertible debentures in the current<br \/>\nyear<br \/>\n\u2022 The increase of $0.9 million in research and development expenses in the current year<br \/>\ncompared to fiscal 2020 related to the Aldersyde facility<\/p>\n<p>Don Allan, CEO, commented: \u201cDespite the delay in the filing of our Annual Documents, the<br \/>\nmanagement team has been committed to improve every aspect of our performance, including<br \/>\ninternal controls and financial reporting. This<br \/>\nis the baseline from which we will measure our performance and hold ourselves accountable to<br \/>\nour shareholders.\u201d<br \/>\nIn previous news releases dated August 27, 2021 (the \u201cAug 27 PR\u201d) and September 7, 2021, the<br \/>\nCompany announced the management cease trade order (the \u201cMCTO\u201d) issued by the British<br \/>\nColumbia Securities Commission (the \u201cBCSC\u201d) pursuant to National Policy 12-203 \u2013<br \/>\nManagement Cease Trade Orders.<br \/>\nThe MCTO was issued in connection with the delayed filing of the Annual Documents. Upon<br \/>\nthe filing of the Annual Documents, the Company believes that it has satisfied the conditions<br \/>\nof the BCSC in order to have the MCTO lifted.<br \/>\nThe MCTO does not affect the ability of shareholders who are not insiders of the Company<br \/>\nto trade their common shares of the Company. The CEO and the CFO pursuant to the<br \/>\nMCTO, and the insiders of the Company as imposed by the Company, continue to be under<br \/>\na trading blackout as previously disclosed until the MCTO is lifted by the BCSC.<br \/>\nAs disclosed in the Aug 27 PR, the previously issued financial statements for the fiscal year ended<br \/>\nApril 30, 2020, and the corresponding management\u2019s discussion and analysis (collectively, the<br \/>\n\u201cRestated Documents\u201d), have been restated in the comparative figures presented in the Annual<br \/>\nDocuments. The Restated Documents replace and supersede the respective previously filed<br \/>\nfinancial statements and management\u2019s discussion and analysis for the year ended April 30, 2020.<br \/>\nThe effect of the restatements does not impact the Company\u2019s cash position, or the number of<br \/>\nshares previously reported as outstanding.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>ESGFIRE comment:<\/strong><br \/>\nCielo Waste Solutions finished the quarter ending april 30th with a cash balance of 17 MCAD.<br \/>\nThe company could receive upwards of 2.5 millon CAD in outstanding warrants , the average exercise price is 0.10 CAD.<br \/>\nFor the financial year of april 2020 to april 2021 not counting in the loss of fair value for warrants the burn rate for Cielo was approximately 11.2 million CAD per year , or 2.8 million CAD per quarter.
