ESGFIRE Commentary<\/strong><\/p>\n

CHARBONE has announced the addition of an industrial gas cylinder filling unit at its Sorel-Tracy site in Quebec. On its own, a filling unit is not the kind of announcement that moves a share price on the day. In our view, however, it is one of the more strategically coherent steps the Company has taken this year: it brings a previously outsourced step in-house, it widens the range of customers CHARBONE can serve directly, and it turns Sorel-Tracy from a production site into something much closer to the full regional hub described in the Company’s 2026\u20132030 strategic plan.<\/p>\n

What CHARBONE announced<\/strong><\/p>\n

-A cylinder filling unit at the Sorel-Tracy site, initially filling hydrogen and helium cylinders, with the ability to expand to other industrial gases and specialised mixtures in the future.<\/p>\n

-The filling step was previously sourced externally. The Company expects bringing it in-house to support margin improvement and to give it greater control over product quality and delivery timelines.<\/p>\n

-The unit will primarily serve the Quebec market, while also supporting business development elsewhere in Canada.<\/p>\n

-Target customers include private companies and distribution partners, including independent distributors. The offering will also address supply needs related to certain government contracts and the defence sector.<\/p>\n

-Management highlights helium as a high-demand industrial gas with constrained supply, relevant to semiconductors, aerospace and defence, and advanced manufacturing.<\/p>\n

-CFO and Corporate Secretary Benoit Veilleux will present at the Emerging Growth Conference on Thursday, October 29, 2026, at 3:10 PM ET.<\/p>\n

ESGFIRE analysis: why the filling step matters<\/strong><\/p>\n

In industrial gases, the value does not lie only in producing the molecule. A large part of it sits in how the gas reaches the customer. Larger customers take gas in bulk, for example by trailer, as with CHARBONE’s helium fleet, while a much broader base of laboratories, workshops, manufacturers and institutions buy their gas in cylinders. Because cylinder gas is sold in smaller quantities, with the handling, the cylinder asset and the service included in the price, it is typically priced well above bulk deliveries on a per-unit basis. This is ESGFIRE’s view based on the general structure of the industry; CHARBONE has not disclosed pricing or margins for the new unit.<\/p>\n

Until now, CHARBONE has paid a third party to perform this step. Bringing it in-house means the Company keeps the filling margin rather than paying it away and, perhaps more importantly for a supplier of ultra-high purity gases, controls a step where contamination risk is real. Purity is only as good as the weakest link between production and the customer’s process, and cylinder preparation and filling is one of those links. In our view, this ties directly to the differentiation management set out in the strategic plan: quality, metrology and traceability.<\/p>\n

Our read: Sorel-Tracy is becoming the hub template<\/strong><\/p>\n

In April, CHARBONE’s 2026\u20132030 strategic plan described a hub-and-spoke model with 6 to 8 regional hubs in North America and internationally, with the development of Sorel-Tracy as the top priority and the anchor for expansion. With hydrogen production from Phase 1A, storage and distribution, and now cylinder filling on the same site, Sorel-Tracy increasingly looks like the working prototype of what each hub is meant to be. According to its August corporate presentation, the Company is developing hubs in Ontario, Quebec, Nova Scotia and New York. We think this matters beyond Quebec. A hub model is only replicable if the first hub demonstrates the full set of functions, and every function proven at Sorel-Tracy lowers the execution risk at the next site.<\/p>\n

There is also a timing logic that we think is easy to miss. Phase 1B, for which management has guided a fall 2026 launch, is set to increase CHARBONE’s own hydrogen production at Sorel-Tracy. More production needs more outlets. With filling now in-house on the same site, the Company has its own route to put that hydrogen into cylinders for smaller-volume customers, and not only to sell it to customers large enough to take bulk deliveries. This is our interpretation; the release does not link the two.<\/p>\n

Building on a customer base that is already forming<\/strong><\/p>\n

The release should be read against the commercial build-out of recent months: 22 new helium customers in Quebec announced in June, the helium fleet expanded to five units in July, and Q2 gas income of $0.5 million, up 155% from the first quarter, as confirmed in the Q2 results in August. Several of the segments named in June, such as welding and metal processing and laboratories, are typical cylinder users. Since the filling step was previously sourced externally, we read the new unit less as an entry into a new market and more as a way to serve and grow this customer base on better terms: with CHARBONE’s own margin, quality control and delivery timelines. In our view, this is how a regional gas business builds density: many smaller, recurring accounts around a hub, rather than a few large ones.<\/p>\n

Two elements of the customer description stand out to us. The first is the explicit mention of independent distributors, which is consistent with the strategic plan’s positioning of CHARBONE as complementary to regional distributors rather than competing head-on with the global majors. The second is that government contracts and the defence sector are named as target segments. Together with management’s emphasis on serving buyers who want to source their gases from a Canadian partner, we read this as CHARBONE positioning itself for procurement where domestic origin and security of supply carry weight alongside price. We consider this a logical niche for a mid-tier player, although qualifying as a supplier in these segments typically takes time.<\/p>\n

What the release does not tell us, candidly<\/strong><\/p>\n

The release does not disclose the investment in the unit, its filling capacity, when it becomes operational, or any expected revenue or margin contribution. Margin improvement is described as expected, not quantified. CHARBONE does not produce helium itself; according to earlier disclosures it is sourced through partners. The filling unit therefore captures handling value but does not change CHARBONE’s exposure to upstream helium availability and pricing. Nor does the release provide an update on Phase 1B, which in our view remains the single most important operational milestone for the Company in the near term.<\/p>\n

What ESGFIRE is watching next<\/strong><\/p>\n

-The Emerging Growth Conference on October 29, where we hope to hear a start-up date and an indication of volumes for the filling unit as part of CFO Benoit Veilleux’s recap.<\/p>\n

-Phase 1B commissioning against management’s fall 2026 guidance.<\/p>\n

-The Q3 2026 results: the gas income trend, the mix between own hydrogen and partner-sourced gases, and whether gross margin begins to reflect steps brought in-house.<\/p>\n

-The first named distributor, government or defence relationships served from the filling unit.<\/p>\n

-Expansion of the filling offering to further industrial gases and specialty mixtures, which the Company describes as a future option.<\/p>\n

Risks: ESGFIRE’s assessment<\/strong><\/p>\n

-Execution and ramp-up: no capacity or start date has been disclosed, and the financial contribution may be modest initially.<\/p>\n

-Competition: packaged gases in Canada are supplied by global majors with established filling and branch networks, as well as regional distributors. Selling both to independent distributors and directly to end customers requires careful channel management.<\/p>\n

-Procurement cycles: government and defence customers typically involve lengthy qualification and tender processes.<\/p>\n

-Helium supply: partner-sourced helium leaves CHARBONE exposed to upstream availability and price movements.<\/p>\n

-Funding: CHARBONE remains in a build-out phase and is not yet profitable. It drew a further $1.5 million on its RiverFort convertible facility in September, and the financing and dilution considerations we discussed in our Q2 commentary still apply.<\/p>\n

Conclusion: ESGFIRE’s summary judgement<\/strong><\/p>\n

This is not a headline-grabbing release, and it should not be read as one. In our view, it is a sensible piece of vertical integration: CHARBONE moves one step closer to the end customer, keeps a margin it previously paid away, and takes control of a step that matters for a UHP supplier. Together with production, storage and a growing helium distribution business, it makes Sorel-Tracy look more like the integrated hub the strategic plan describes. We maintain our positive view of the platform thesis, while noting that the real tests over the coming months remain Phase 1B and whether the Q3 figures show the commercial build-out continuing.<\/p>\n
