Replenish Nutrients Holding Corp. (CSE: ERTH / OTC: VVIVF) has announced a non-brokered private placement of up to C$3 million to support expansion of its regenerative fertilizer business. The offering is priced at C$0.12 per Unit, with each Unit comprising one common share and one warrant exercisable at C$0.18 for 24 months. The financing is expected to close on or about February 2, 2026 subject to regulatory conditions.

A key feature of the raise is strategic institutional support, including a C$1.95 million investment from Sorbie Bornholm LP. Under the structured sharing agreement, Replenish will receive monthly payments over 24 months beginning four months post-close, with amounts adjusted based on share price performance relative to a benchmark. This structure aims to provide predictable capital with controlled dilution.

Proceeds are earmarked to fund working capital and support Replenish’s recently announced licensing agreements with MJ Ag Solutions and Farmers Union Enterprises, as well as bolstering operations at the company’s Beiseker manufacturing facility. Expansion of production and distribution footprints across Western Canada and the U.S. Midwest remains central to the company’s growth strategy.
